Practical business guides
Family Succession, Management Buyout or External Sale?
Amati Capital Partners ·
The appropriate transition path depends on the owner's objectives, the successor's capability and the financing the business can support. Compare control, cash received, execution risk and continuity together rather than choosing on price alone.
Family succession: separate ownership from leadership
A family member may want to own shares without running the company, or may be ready to manage before being able to purchase ownership. Discuss these roles separately. Define selection criteria, development milestones, decision authority and the treatment of family members outside the business. Use qualified advisers for the tax, estate and legal structure.
Management buyout: connect continuity with affordability
An established team may understand customers and operations, but its ability to lead the company does not automatically establish its ability to finance a purchase. Assess management equity, potential lender support, vendor financing and the cash flow remaining after debt service and reinvestment. Record how disagreements and future ownership changes will be handled.
External sale: prepare for independent scrutiny
An outside purchaser will investigate the company and may have different expectations for valuation, risk allocation and the owner's continuing role. Consider confidentiality, the quality of financial information, customer concentration and management depth. Compare the whole offer: conditions, cash at closing, earn-outs, seller financing and transition obligations.
Use the same questions for every option
For each route, ask who will make decisions, how the purchase will be funded, what cash the owner receives at completion and what happens if performance disappoints. Identify whether the owner remains exposed through guarantees, deferred payments or ongoing operational responsibility. Compare these commitments with personal objectives.
Keep a workable alternative
A preferred path can become impractical if a successor changes their mind, financing falls short or the business needs more preparation. Improvements in reporting, delegation and governance can preserve options across several paths. Amati can help build the comparison and readiness roadmap before specialist advisers implement the selected transaction.
