Entering Canada: Acquisition, Distributor or New Operation?

Amati Capital Partners ·

Choose the entry model around customer access, required control, capital and local operating capacity. A distributor can help test demand, an acquisition can provide an established platform and a new operation can offer more design control. Each creates a different set of commitments.

Start with customer evidence

Define the target buyer, the reason they would switch and the economics of serving them. Test pricing, delivery expectations, after-sales support and procurement requirements with prospective customers and suitable industry contacts. A large national market estimate is less useful than evidence that a specific customer group will buy at a workable margin.

Distributor or commercial partner

A local partner may provide relationships and distribution without requiring a full operating platform at the outset. Evaluate coverage, technical capability, competing products and reporting quality. Agree commercial targets and review proposed exclusivity, brand use, customer-data access and termination terms with counsel. Lower initial commitment can come with less control over execution.

Acquisition

Buying a business can provide people, customers and operating assets, but it also introduces diligence and integration requirements. Assess management retention, earnings quality, customer concentration, systems and capital needs. Model the purchase and post-closing liquidity together. Compare the acquired platform with the actual requirements of your Canadian strategy.

New Canadian operation

A new operation allows the company to choose its location, team and systems, while taking responsibility for building the platform. Sequence customer validation, entity and tax planning, premises, hiring, banking and operating requirements. Confirm product, employment, customs and other applicable obligations with qualified specialists rather than treating incorporation as market readiness.

Use a common decision scorecard

Compare the three routes against time to revenue, management attention, funding need, customer access, control and reversibility. Treat estimates as assumptions to test. Build decision gates: what evidence must be obtained before entering a lease, hiring a team or committing to a purchase? An expansion can be staged rather than approved as one irreversible project.

Coordinate the local implementation

For European and German businesses considering Canada, Amati can help evaluate the commercial case, connect financing and operating decisions and coordinate relevant local partners and professional advisers. The appropriate result may be a phased entry plan, further validation or a decision to wait. Incentives should be assessed on current eligibility rather than assumed in the base case.
